Terms of Service

Effective date: June 1, 2026

1. Acceptance

By creating an account or using CommerceBase (the “Service”), you agree to these Terms of Service (“Terms”). If you do not agree, do not use the Service.

These Terms apply to all users, including those using the free tier, paid subscriptions, and the CommerceBase Capture Chrome extension.

2. Description of service

CommerceBase is an AI-powered product catalog management platform. It allows you to import, enrich, and export product data across e-commerce platforms. The Service includes the web application at app.commercebase.io, the API at api.commercebase.io, and the CommerceBase Capture Chrome browser extension.

3. Account registration

You must provide a valid email address and keep your credentials secure. You are responsible for all activity that occurs under your account. Notify us immediately if you suspect unauthorized access.

You must be at least 18 years old or have the legal capacity to enter into contracts in your jurisdiction to use the Service.

4. Subscriptions and credits

The Service operates on a subscription + credit model. Subscriptions are billed monthly in advance. Credits are consumed when AI enrichment features are used.

  • Unused credits do not carry over to the next billing period unless stated otherwise.
  • Top-up credit packs are non-expiring and non-transferable.
  • Prices are listed in USD and may be subject to applicable taxes in your region.
  • We reserve the right to change pricing with 30 days' notice to existing subscribers.

5. Acceptable use

You agree not to:

  • Use the Service to scrape, harvest, or collect data in violation of third-party terms of service.
  • Attempt to reverse-engineer, decompile, or disassemble any part of the Service.
  • Use the Service to transmit malware, spam, or any unlawful content.
  • Resell or sublicense access to the Service without prior written consent.
  • Use automated means to access the Service beyond what the API explicitly allows.
  • Attempt to circumvent usage limits, quotas, or billing.

6. Your data

You retain ownership of all product data you import, create, or upload to the Service. By using the Service, you grant us a limited license to process and store your data solely to provide the Service.

We do not claim ownership of your data and will not share it with third parties except as described in our Privacy Policy.

7. AI-generated content

The Service uses large language models (LLMs) to generate product descriptions and other content (“AI Output”). You are responsible for reviewing and approving all AI Output before use. We do not guarantee the accuracy, completeness, or fitness for purpose of any AI Output.

AI Output is generated on your behalf and you retain responsibility for how it is used, including compliance with applicable consumer protection and advertising laws.

8. Intellectual property

The Service, including its design, code, and branding, is owned by CommerceBase and protected by intellectual property laws. Nothing in these Terms transfers any intellectual property rights to you.

9. Disclaimer of warranties

The Service is provided “as is” and “as available” without warranties of any kind, express or implied, including but not limited to warranties of merchantability, fitness for a particular purpose, or non-infringement.

We do not warrant that the Service will be uninterrupted, error-free, or free of viruses or other harmful components.

10. Limitation of liability

To the maximum extent permitted by applicable law, CommerceBase shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including loss of profits, data, or business opportunities, even if advised of the possibility of such damages.

Our total liability for any claim arising from these Terms or your use of the Service shall not exceed the amount you paid to us in the 12 months preceding the claim.

11. Termination

You may cancel your account at any time from the Settings page. Cancellation stops future billing but does not entitle you to a refund of any prepaid subscription fees.

We may suspend or terminate your account if you violate these Terms, with or without notice depending on the severity of the violation. Upon termination, your data will be retained for 30 days before permanent deletion, during which you may request an export.

12. Governing law

These Terms are governed by the laws of the European Union and applicable member state law. Any disputes shall be resolved in the competent courts of the jurisdiction where CommerceBase is registered.

13. Changes to these terms

We may update these Terms as the Service evolves. If changes are material, we will notify registered users by email at least 14 days before they take effect. Continued use after that date constitutes acceptance of the updated Terms.
